1. Agreement

By installing, accessing, or using AdviDocs (the “Software” or “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms form a binding agreement between you and Infosphere Technologies.

2. Eligibility and Accounts

You must be at least the age of majority in your jurisdiction and authorized to enter into these Terms.

You may be required to register an account or authenticate using provided credentials. You agree to provide accurate and current information.

You are responsible for safeguarding your credentials and any API keys configured in the Software, and for all activities under your account.

3. License

We grant you a limited, revocable, non-exclusive, non-transferable license to install and use the Software on devices you own or control, subject to these Terms.

You may not:

  • (a) copy, modify, distribute, sell, lease, or sublicense the Software;
  • (b) reverse engineer or attempt to extract source code except as permitted by law;
  • (c) remove proprietary notices or branding;
  • (d) access or use the Software to build a competing product or service;
  • (e) use the Software for any unlawful or prohibited purpose.

4. User Content and Processing

You retain all rights to documents and data you upload, index, or process through the Software (“User Content”).

You grant the Software a limited license to process User Content locally or through your configured integrations solely to provide search, indexing, and chat functionality.

When using AI or embedding features, text derived from your content and prompts may be transmitted to third-party AI or API providers that you configure. You are solely responsible for lawful use, obtaining necessary consents, and complying with those providers’ terms and privacy policies.

5. Data Storage and Security

  • For self-hosted installations, data (including indexes, logs, and configuration files) is stored locally on your device or infrastructure.
  • If using any hosted features, your account and operational data may be processed and stored in managed infrastructure operated by us or our subprocessors.
  • Deleting app data or uninstalling the Software may irreversibly remove stored data.
  • You are responsible for securing your device, data, and credentials. We use reasonable measures to protect the Service but do not guarantee it will be error-free or invulnerable to attacks.

6. Acceptable Use

You agree not to:

  • Violate any law or third-party rights.
  • Upload, share, or process content that is illegal, infringing, or harmful.
  • Engage in harassment, fraud, or deceptive conduct.
  • Submit sensitive personal data (e.g., PHI, PCI, national IDs) without appropriate consent and safeguards.
  • Attempt to access non-public features, bypass security, disrupt operations, or misuse the Service or any connected API.
  • Share or reuse API keys, tokens, or credentials outside your authorized organization.

7. Third-Party Services and Models

The Software may connect to or rely on third-party services or model providers through your configured API keys. We do not control and are not responsible for those services, their availability, or data handling practices. You are responsible for any fees or obligations arising from your use of those services.

8. Plans, Subscriptions, and Version Access

  • Access to certain features or updates may require an active subscription or qualifying plan.
  • Some plans may entitle you to specific versions (e.g., lifetime or fixed-version licenses). Access to newer versions may require plan upgrades.
  • We may update pricing, plan features, or eligibility from time to time. You are responsible for applicable taxes and any third-party usage fees (such as AI model charges).
  • Unless stated otherwise, pricing changes take effect at the start of your next billing cycle. Where required by law, we will provide advance notice (e.g., via email or in-product notice). Continued use after the effective date constitutes acceptance of the new pricing.
  • If you do not agree to a pricing change, you may cancel your subscription at any time before the effective date via the billing portal. Cancellation will apply at the end of the current billing period.

9. Updates and Modifications

We may update, modify, or discontinue the Software at any time, including dependencies, integrations, or features. Some updates may be required to continue using the Service.

10. AI Outputs and Professional Advice Disclaimer

AI-generated results, summaries, or responses produced through the Software are automatically generated and may be inaccurate, incomplete, or misleading. You are responsible for verifying outputs before relying on them. The Software does not provide legal, medical, financial, or other professional advice.

11. Intellectual Property and Feedback

We and our licensors own all intellectual property rights in the Software, excluding your User Content. If you submit feedback, ideas, or suggestions, you grant us a royalty-free, perpetual, irrevocable license to use them to improve our products and services.

12. DMCA and Content Complaints

For copyright or content complaints, contact us at support@advidocs.com with sufficient information to identify the alleged infringement. We may request additional details and take appropriate action.

13. Disclaimers

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION OR THE ACCURACY OF AI OUTPUTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE, API, OR THIRD-PARTY SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) EUR €100.

15. Indemnification

You agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your: (a) use of the Software or API, (b) User Content, (c) breach of these Terms, or (d) violation of law or third-party rights.

16. Termination

We may suspend or terminate your access to the Software or API for violations of these Terms or where required by law or a third-party provider. Upon termination, your license ends and you must cease all use of the Software. Sections intended to survive termination will continue in effect.

17. Export and Sanctions Compliance

You may not use, export, or re-export the Software in violation of applicable export control or sanctions laws.

18. Government Use

The Software is “Commercial Computer Software” provided with only those rights set forth in these Terms.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of [Insert jurisdiction], excluding its conflict-of-law principles. Disputes shall be resolved in the courts located in [Insert venue], unless otherwise agreed in writing.

20. Changes to Terms
